ARBITRATION NOTICE: Except as otherwise provided herein, you agree that disputes arising under these Terms will be resolved by binding, individual arbitration. By accepting these Terms, you and Aries are each waiving the right to a trial by jury or to participate in any class action or representative proceeding.

Aries is not responsible for any actions you take based on information provided through the Services. All investments involve risk, including the potential loss of principal.
1. Services Overview
Aries Financial, Inc. operates a technology platform that provides access to investment services. Ram Financial LLC ("Ram"), a wholly-owned subsidiary of Aries Financial, Inc., is a registered broker-dealer and member of FINRA/SIPC. Brokerage services are provided by Ram
The Services include our website at www.aries.com, mobile applications, general news and information, educational materials, market data, and other related services. The Services do not include the actual brokerage services provided by Ram which are governed by a separate Brokerage Agreement.
2. Eligibility
You must be at least 18 years old to use the Services. By agreeing to these Terms, you represent and warrant that:
- You are at least 18 years old and legally capable of entering into agreements;
- You have not previously been suspended or removed from the Services;
- Your registration and use of the Services complies with all applicable laws and regulations; and
- You are a U.S. resident with a valid Social Security number or Tax Identification Number.
3. Account Registration
To access most features of the Services, you must register for an account. When you register, you agree to:
- Provide accurate, current, and complete information during registration;
- Maintain and promptly update your account information;
- Maintain the security and confidentiality of your login credentials; and
- Accept responsibility for all activities that occur under your account.
If you believe your account has been compromised, you must notify us immediately at support@aries.com.
4. Relationship with Ram Financial LLC
Ram Financial LLC is a registered broker-dealer, member FINRA/SIPC, and wholly-owned subsidiary of Aries Financial, Inc. Ram Financial provides brokerage and trading services. Apex Clearing Corporation ("Apex") serves as the clearing firm and custodian for customer accounts.
Your brokerage relationship with Ram Financial is governed by a separate Brokerage Agreement. To the extent there is any conflict between these Terms and the Brokerage Agreement, the Brokerage Agreement shall control with respect to brokerage services.
5. Self-Directed Services
Aries and Ram Financial provide self-directed trading services. We do not provide personalized investment advice, recommendations, or any fiduciary services. You are solely responsible for:
- Evaluating the merits and risks of any investment;
- Making your own investment decisions; and
- Determining whether any investment, strategy, or transaction is appropriate for you based on your personal objectives, financial circumstances, and risk tolerance.
6. Market Data and Third-Party Content
Market data and certain content are provided by third-party providers. Neither Aries nor any third-party provider guarantees the accuracy, completeness, timeliness, or availability of any market data or content. Market data is provided "as is" and "as available."
You agree to use market data solely for personal, non-commercial purposes and in accordance with applicable exchange agreements. Price quotes may be delayed according to exchange rules.
7. Electronic Communications
By using the Services, you consent to receive electronic communications from us, including:
- Account notifications and alerts;
- Trade confirmations and account statements;
- Updates to these Terms or other policies; and
- Marketing and promotional communications (from which you may opt out).
You agree that electronic communications satisfy any legal requirement that such communications be in writing.
8. Fees and Charges
You agree to pay all applicable fees and charges related to your account as outlined in our Fee Schedule, available on our website. Fees may include commissions, regulatory fees, clearing fees, and other charges. Aries reserves the right to modify fees upon notice provided through the Services or other communication methods.
9. Prohibited Conduct
You agree not to:
- Use the Services for any illegal purpose or in violation of any laws or regulations;
- Violate any rules of FINRA, the SEC, or any securities exchange;
- Provide false or misleading information;
- Attempt to manipulate the market or engage in fraudulent trading activity;
- Interfere with or disrupt the Services or servers connected to the Services;
- Attempt to gain unauthorized access to any accounts, systems, or networks; or
- Use the Services to transmit any harmful code, viruses, or malicious software.
10. Intellectual Property
The Services and all content, features, and functionality are owned by Aries, its licensors, or other providers and are protected by intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content without prior written consent.
11. Privacy
Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and share your personal information. By using the Services, you consent to our collection and use of your information as described in the Privacy Policy.
12. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. ARIES DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected. No advice or information obtained through the Services creates any warranty not expressly stated herein.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ARIES AND ITS AFFILIATES, INCLUDING RAM FINANCIAL LLC, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including damages for loss of profits, goodwill, data, or other intangible losses, arising out of or relating to your use of the Services.
Our total liability to you for all claims arising from or relating to these Terms or the Services shall not exceed the greater of (a) the amount you have paid to Aries in the 12 months prior to the claim, or (b) $100.
14. Indemnification
You agree to indemnify, defend, and hold harmless Aries, Ram Financial LLC, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or violation of any applicable laws.
15. Dispute Resolution and Arbitration
Agreement to Arbitrate: Except for disputes arising from brokerage services (which are governed by the Brokerage Agreement), you agree that any dispute arising out of or relating to these Terms will be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules.
Class Action Waiver: YOU AND ARIES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.
Opt-Out: You may opt out of this arbitration provision by sending written notice to Aries Financial, Inc., Attn: Legal Department, 1420 Washington Blvd, Detroit, MI 48226, within 30 days of accepting these Terms.
16. Termination
Aries may terminate or suspend your access to the Services at any time, with or without cause or notice. You may terminate your account at any time by contacting support@aries.com. Upon termination, your right to use the Services ceases immediately, but provisions that by their nature should survive termination will remain in effect.
17. Changes to Terms
Aries reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or through other communications. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
18. Governing Law
These Terms are governed by the laws of the State of Michigan without regard to conflict of law principles. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Wayne County, Michigan.
19. General Provisions
Entire Agreement: These Terms, together with the Privacy Policy, Brokerage Agreement, and any other agreements incorporated by reference, constitute the entire agreement between you and Aries regarding the Services.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
Assignment: You may not assign or transfer these Terms without our prior written consent. Aries may assign these Terms without restriction.
